Club Constitution

1 Name
The club shall be called the Clwb Cychod Cemaes, Charles Henry Ashley, Cemaes Boat Club.
2 Aims and Objectives
The objectives of the club shall be to provide opportunities to promote and further the interests of rowing and sailing. The club shall offer coaching, recreational and competitive opportunities for rowing, sailing and the management of all club equipment. The aims and objectives shall be consistent with the furthering of equal opportunities for all groups within the sports of rowing and sailing.
Clwb Cychod Cemaes,Charles Henry Ashley, Cemaes Boat Club will adopt a positive attitude towards the use of the Welsh Language and, wherever possible, will endeavour to provide published material in Welsh and English.
3 Membership
Membership of the club will consist of the Members. The categories of membership are as follows:-
- Full Member
- Friend of the Charles Henry Ashley
- Charity Membership (for registered charities only)
- Day Member
Membership of the club shall be open, and not unreasonably restricted on the grounds of sex, race, or of political, religious, or other opinions, to any person in the area who is prepared to accept and support the objectives of the club. In accepting membership, a person agrees to abide by the constitution of the club and the rulings of the club Executive Committee.
The Executive Committee shall be responsible for considering any application for membership and shall decide if this application shall be accepted. This decision shall be in accordance with a non-discriminatory policy as specified.
4 Membership Fees
Initial membership fees shall be determined by Public Meeting and agreed by the Executive Committee. Membership fees shall be revised at Annual General Meetings. The Executive Committee may decide upon other charges or subscriptions at its discretion.
Membership for categories a, b and c will last for 12 months from the date of joining. A renewal notice will be sent to the member 2 weeks, and again 2 days, before membership expires.
5 Officers
The officers of the club shall be:
- Chairman
- Vice Chairman
- Treasurer
- Minutes Secretary
- Membership Secretary
- Training Officer Rowing
- Training Officer Sailing
- Boatswain
- Sales Officer
- Publicity Officer
- Website Manager
- Fundraising Officer
- Crewing Organiser
These officers, together with all other members of the Executive Committee, shall hold office for one calendar year, being elected annually at the club’s Annual General Meeting. All Committee Members shall retire annually but shall be eligible for re-appointment. Officers shall not serve for more than 3 (three) consecutive years. Any casual vacancy occurring may be filled by the Executive. In situations where an officer has completed his term of three consecutive years in one post and that there are no offers to take on that position, an existing officer may be re-elected for a further term subject to a proposer and seconder being found and subject to a two-thirds majority vote of those present at the AGM.
6 Executive Committee
The management of the club shall be vested in the Executive Committee (hereinafter called the Executive Committee).
The Executive Committee shall act for the members. Liability shall not fall upon the committee (provided they act in accordance with the constitution, in honesty and good faith).
The Executive Committee shall comprise the Officers and not more than 9 other members of the Committee. In addition to the 9 members a junior member could be appointed to represent the views of the junior members.
All officers and members of the Executive Committee to have equal voting rights.
The quorum necessary for the transaction of business at Executive Committee meetings shall be 5 present and eligible to vote. This quorum will differ for General meetings. Each decision at a meeting shall be determined by a majority of the vote of the members present and voting, each member having one vote. In the event of an equality of votes, the Chair of meeting shall have a casting vote.
The interpretation of the club constitution shall be vested in the Executive Committee, who shall decide all questions relating to the club, save those specified in, or involving an amendment to the constitution. The Executive Committee may employ professional officers at its discretion.
Meetings of the Executive Committee shall be convened by the Secretary and the committee shall meet quarterly (minimum).
7 Finance
All monies raised by, or on behalf of, the club shall be applied to further the objects of the club and for no other purpose.
The club Treasurer is responsible for the finances of the club.
The financial year of the club ends on the last day of March each year. Proper accounts shall be kept of all sums of money received and paid out by the club.An audited statement of accounts, up to and including this date, shall be presented at the Annual General Meeting of the club.
The funds of the club shall be lodged at a bank or building society in an account in the name of the club and all cheques, drafts etc., drawn on this account shall be signed by any two of the following officers:- Chair, Secretary, Treasurer.
8 Annual General Meeting and Other Meetings
The Annual General Meeting (AGM) of the club shall be held every year during the month of April when the annual report of the Executive Committee and the audited statement of accounts up to the end of the year shall be presented.
Not less than 14 days’ notice of the date of the AGM shall be given to all members by the Secretary. The AGM shall elect such officers of the club as it may from time to time determine. Nominations for officers shall be received by the Secretary not less than 7 days prior to the AGM.
Nominations shall require a proposer and a seconder. Nominations can only be accepted from persons eligible to vote at the AGM.
Dates of the Annual General Meetings and Executive Meetings shall be determined at the previous meeting. In addition, the Chair may call a meeting when he/she considers it necessary or desirable, or upon a written request of a least 2 members of the Executive Committee.
Members shall be entitled to vote at the AGM of the club and shall have equal voting rights. The quorum for the Annual General Meeting shall be 25% of the voting membership.
An Extraordinary General Meeting (EGM) shall be called by an application in writing to the Secretary signed by not less than 2 members.
The Executive Committee shall have the power to call an EGM by decision of a simple majority of its members.
9 Voting Procedure and Entitlement
Each member as specified in paragraph 4 shall be entitled to one vote at an AGM/EGM.
A motion shall be carried by a simple majority of those present and voting, except when the motion is a constitutional amendment, which shall require a two-thirds majority. The Chair shall have the casting vote in addition to a deliberate vote.

11 Discipline and Appeals
The Executive Committee shall have the power to take appropriate disciplinary action against any member, and shall have the authority (by unanimous vote and for good reason) to terminate the membership of any member guilty of conduct deemed to be to the detriment of the club. The Member concerned shall have the right to be heard by the Executive Committee, accompanied by a friend, before a final decision can be made.
There shall be the right of appeal to the Executive Committee or an Appeal Committee set up by it to act on its behalf, against any decision made by an officer of the club.
The appeal should normally be considered within 14 days of it being received by the Secretary.
12 Dissolution Procedure

The Member concerned shall have the right to be heard by the Executive Committee, accompanied by a friend, before a final decision can be made.

13 Review of the Constitution
This Constitution shall be reviewed when necessary. Amendments to the constitution shall only be agreed at AGMs or EGMs.
Additions, or alterations, to the constitution shall be submitted to the Secretary not less than 14 days before the date of the AGM or with a request for a special meeting of club members. No resolution involving an amendment to the constitution may be proposed or amended from the floor of a meeting. In the event of a proposal for amending the constitution being submitted, the Secretary shall inform the membership of the proposed motion not less than 7 days before the AGM.
Any amendments to the proposed motion duly proposed and seconded in like manner shall be submitted in writing to the Secretary no later than 3 days before the said meeting. Any alteration to the constitution shall require a two-thirds majority of members present and voting. In the event of any matter or question arising which is not provided for in the constitution, such matter or question shall be dealt with by the Executive Committee, whose decision shall be final.
